Binding Agreement

By accessing or using this website and/or obtaining any services rendered on this website, whether free of charge or for a fee, you acknowledge and agree to be bound by these Terms. The Company provides its services exclusively within India and in accordance with applicable Indian laws.

Users who are residents or citizens of the European Union, the State of California, or any other jurisdiction that imposes additional or inconsistent requirements relating to the use or protection of personal information (beyond those mandated under Indian law) are solely responsible for assessing the suitability of using the Services.

1. Introduction

1.1 These Terms and Conditions ("Terms of Use") govern your use of the Website, owned and operated by Indiconnect Paytech Private Limited (the "Company"), as well as any services provided by the Company ("Services"). These Terms of Use incorporate all referenced policies, guidelines, and additional terms.

The Company reserves the right to modify or update these Terms of Use at any time by posting the revised version on the Website. All changes will become effective immediately upon posting. Continued use of the Website or Services after such posting shall constitute your acceptance of the revised Terms.

1.2 For the purposes of these Terms of Use, the terms "You" or "User" refer to any natural or legal person who accesses or uses the Website, whether as a registered user or otherwise. Users may browse the Website without registering; however, certain features or portions of the Website may only be accessible upon registration.

1.3 In the event of any inconsistency between these Terms of Use and a specific agreed agreement executed between the Company and a User, the terms of such agreed agreement shall prevail.

1.4 Unless expressly stated otherwise, any new products, services, features, or tools introduced by the Company on the Website or within the Services shall be governed by these Terms of Use.

1.5 User Eligibility: By using the Website or Services, you represent that you are legally competent or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms of Use, obligations, affirmations, representations, and warranties outlined in these Terms of Use.

1.6 Users must be identified by a unique email address or phone number, and two or more natural persons may not use the Services as the same User.

2. Account and Registration Obligations

2.1 The User shall be solely responsible for maintaining the confidentiality and security of the User's account credentials, including but not limited to the username, password, and any other authentication details associated with the User's account on the Website. The User acknowledges and agrees that all activities undertaken through the User's account shall be deemed to have been performed by the User, and the User shall be liable for any such actions.

2.2 The User further agrees to provide true, accurate, current, and complete information during the registration process and to update such information as required to keep it accurate and complete. In the event that the User provides any information that is untrue, inaccurate, outdated, or incomplete, or if the Company has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, or is otherwise inconsistent with these Terms of Use, the Company reserves the right, without prior notice, to suspend, terminate, or restrict the User's account and/or access to the Website and Services indefinitely.

2.3 The Company shall not be liable for any loss or damage arising from the User's failure to comply with these obligations.

3. Privacy

3.1 The User's privacy is of utmost importance to the Company. Accordingly, the Company has adopted a separate Privacy Policy, which details the manner in which the Company collects, uses, processes, stores, secures, and manages personal information provided by the User. By using the Website or the Services, the User acknowledges and agrees to the practices outlined in the Privacy Policy.

3.2 The User acknowledges and agrees that the Company acts solely as a service provider and does not store, retain, or otherwise preserve any sensitive personal data or information used by the User for availing the Services, including but not limited to Aadhaar numbers, PAN details, or any related identifiers. All Aadhaar-related data, if processed during the Service flow, is handled strictly in accordance with applicable law, in Base 64 format (or any other legally compliant secure format, as applicable), and is not stored by the Company at any stage.

Notwithstanding the foregoing, the Company may collect and store limited non-sensitive personal information of the User, including name, email address, and contact number, solely for the purposes of user identification, service facilitation, communication, and compliance with applicable legal requirements.

5. Third-Party Information and Services

5.1 The User acknowledges that the Website may contain links to third-party websites, tools, products, or services, including but not limited to SMS gateways, courier or delivery partners, and certifying authorities such as NSDL and UIDAI (collectively, "Third-Party Services"). Such Third-Party Services are made available solely for the User's convenience and are provided on an "as is" and "as available" basis, without any warranties, representations, or endorsements of any kind by the Company.

The Company makes no assurance regarding, and expressly disclaims all liability arising out of or relating to:

  • the content, accuracy, or reliability of third-party materials or websites;
  • the performance, availability, quality, or suitability of any Third-Party Services; or
  • any loss, damage, claim, or liability incurred by the User as a result of accessing or using such Third-Party Services.

5.2 Without limiting the foregoing, where any documents are uploaded, executed, authenticated, verified, or stored through the Website or as part of the Services, the User acknowledges and agrees that the Company:

  • does not review, validate, or verify the content, legality, sufficiency, or enforceability of such documents;
  • is not responsible for the accuracy, authenticity, or completeness of the information contained in such documents; and
  • shall bear no liability whatsoever for any disputes, claims, losses, or consequences arising out of or relating to such documents.

6. Phishing

6.1 The Company employs HTTPS protocol on the Website to enhance security and protect Users from fraudulent, replica, or "phishing" websites. Users are advised to verify that the Website URL contains "https://" and to exercise due caution before entering any personal, sensitive, or financial information online.

6.2 The Company shall not, under any circumstances, be responsible or liable for any loss, damage, misuse of data, or other consequences arising from the User accessing or providing information on any third-party, fraudulent, or look-alike website, including phishing or dummy websites.

6.3 The Company strongly recommends that Users remain vigilant and adopt safe browsing practices when accessing the Services.

7. Services and Pricing

7.1 The Services enable Users to inter alia execute documents between Users on the Website and receive other ancillary and incidental services as provided by the Company from time to time. In connection with the Services, the Company reserves the right to add or remove any services or specify the pricing for the Services at the discretion of the Company, with whatever notice the Company deems fit.

7.2 In addition to the fees payable for a Transaction, the User will also have to prepay all other fees, charges and costs that are required to be paid, as specified by the Company, in connection with any other Services availed by the User.

7.3 For the prepayment of the charges of the Company for any Services, the User will have to use an appropriate payment instrument such as a bank account, credit or debit card or a semi-closed prepaid wallet for the payment to the Company, which may be made available by the Company at its discretion.

7.5 The Company only provides a platform to help people sign documents. Using our Services does not make the Company a party to any document, unless and until the Company itself is one of the parties executing the document. We do not guarantee or confirm the authority or capacity of the people signing, the contents of any document, or whether the document will be legally enforceable.

7.6 The Company has no control of or access to the contents of documents executed by Users and the Company assumes no responsibility in respect of such documents.

7.8 At the request of the User, the Company facilitates the procurement of stamp paper and payment of stamp duty on documents executed using the Company's Services. In such instances, the Company shall act as a pure agent under the Central Goods and Services Tax Act, 2017.

7.9 The User shall be solely responsible for ascertaining the appropriate stamp duty payable and the Company shall in no way be responsible or be under any obligation to ascertain the appropriate stamp duty payable.

8. Refunds

8.1 No refunds shall be issued for any Services purchased by the User. Additionally, any eSign transactions acquired by the User shall remain valid for a period of 365 (three hundred and sixty-five) days from the date of purchase, unless otherwise specified in writing by the Company.

8.2 Any amounts paid by the User to the Company for availing the Services, including amounts loaded or credited into the User's wallet maintained on the IndiSign platform, shall be non-refundable, non-transferable, and non-withdrawable. The wallet balance may be utilized solely for adjustment against Services rendered on the IndiSign platform and shall not be adjusted, set off, credited, or applied toward any other services, products, third-party offerings, or purposes whatsoever.

8.3 The User expressly agrees that no wallet balance or unutilized amount shall be eligible for refund, adjustment, or carry-forward beyond the validity period, except where required under applicable law.

9. Restrictions on Use

The User shall not:

  • 9.1 Use the services for spamming and other illegal purposes;
  • 9.2 Impersonate any person or entity, falsely claim or otherwise misrepresent an affiliation with any person or entity, or access the accounts of others without their permission, forge another persons' digital signature;
  • 9.3 Defame the Company, its employees, officers, directors, agents, partners and service providers;
  • 9.4 Infringe our or any third party's intellectual property rights, rights of publicity or privacy;
  • 9.5 Use the service if the User is below the age of 18 (eighteen) (or otherwise as permitted, as specified above);
  • 9.6 Post or transmit any message, data, image or program which is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, invasive of another's privacy, hateful, or racially, ethnically objectionable;
  • 9.7 Refuse to cooperate in any investigation or provide confirmation of identity;
  • 9.8 Remove, circumvent, disable, damage or otherwise interfere with security-related features;
  • 9.9 Use the service in any manner that could damage, disable, overburden, or impair it;
  • 9.10 Use any robot, spider, other automatic device, or manual process to monitor or copy the Website without prior written permission;
  • 9.11 Reverse engineer, decompile or otherwise extract the source code related to the Website and the Services;
  • 9.12 Interfere or disrupt the Website or the Services or networks connected to this Website;
  • 9.13 Forge headers or manipulate identifiers or other data in order to disguise the origin of any content;
  • 9.14 Use Website to collect or obtain personal information about other users of the Website.

10. Intellectual Property Rights

10.1 The Services and the Website are owned and operated by the Company. All visual interfaces, graphics, designs, compilations, information, computer code (including source code and object code), products, software, services, and all other elements of the Services and the Website ("Materials") are protected under applicable Indian copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.

10.2 The User shall not remove, obscure, or modify any copyright, trademark, patent, or other intellectual property or proprietary rights notices displayed on, affixed to, or contained within the Services or the Materials. The User shall not sell, license, distribute, copy, reproduce, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise use the Materials in any manner not expressly permitted under these Terms of Use.

11. Suspension

The Company reserves the right to suspend/discontinue its products/services to the User and/or to sever its relationship with the User, at any time, for any cause, including, but not limited to:

  • 11.1 Any suspected violation of the rules, regulations, orders, directions, notifications, laws, statutes, or for any violation of these Terms of Use;
  • 11.2 Any suspected discrepancy in the particular(s), documentation or information provided by the User;
  • 11.3 To combat potential fraud, sabotage, willful destruction, threat to national security, or any other force majeure reasons;
  • 11.4 Due to technical failure, modification, upgradation, variation, relocation, repair, and/or maintenance;
  • 11.5 Due to any transmission deficiencies caused by topographical and geographical constraints/limitations;
  • 11.6 If the User does not have control over the User's login details and password or the User's account is compromised;
  • 11.7 If the Company believes, in its reasonable opinion, that cessation/suspension is necessary.

12. Indemnification and Limitation of Liability

12.1 User Liability

The User acknowledges and agrees that they are solely responsible for their access to and use of the Website and the Services. The User shall be liable for any and all losses, damages, claims, penalties, costs, or expenses incurred by the Company or any third party arising out of or relating to:

  • the User's breach of these Terms of Use;
  • any unauthorised, improper, negligent, or illegal use of the Website or the Services;
  • any content, information, or materials submitted, uploaded, transmitted, or otherwise provided by the User;
  • the User's violation of any applicable law or infringement of any third-party rights;
  • any misuse, loss, disclosure, or compromise of the User's account credentials.

12.2 Indemnification by the User

The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, group entities, service providers, licensors, vendors, and their respective directors, officers, employees, contractors, agents, and representatives from and against any and all claims, actions, demands, proceedings, losses, liabilities, damages, penalties, costs, and expenses (including reasonable legal fees).

12.4 Limitation of Liability of the Company

To the fullest extent permitted by applicable law, and notwithstanding anything to the contrary in these Terms:

  • The Company shall have no liability whatsoever for any claims, losses, damages, costs, or expenses arising out of or in connection with the use of the Website or the Services, except to the limited extent expressly provided herein.
  • In the event any liability is finally adjudicated or agreed to be payable by the Company, the total and aggregate liability of the Company shall be strictly limited to the fees actually paid by the User to the Company for the specific transaction giving rise to such claim.
  • Under no circumstances shall the Company's aggregate liability exceed INR 10,000 (Indian Rupees Ten Thousand only), regardless of the number of claims, causes of action, or transactions.

12.5 Exclusion of Certain Damages

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, exemplary, punitive, consequential, or economic damages of any kind, including:

  • loss of profits,
  • loss of revenue or business opportunities,
  • loss of anticipated savings,
  • loss of data,
  • loss of goodwill, or
  • loss or damage to any equipment or software.

13. Disclaimer of Warranties & Liability

13.1 The User acknowledges and agrees that the Website, the Services, all content made available by the Company, User Content, and any third-party content are provided on an "as is," "as available," and "with all faults" basis. The Company expressly disclaims all warranties of any kind—whether express, implied, statutory, or otherwise, including warranties of title, non-infringement, merchantability, and fitness for a particular purpose.

13.2 The Company shall not be responsible or liable for any User Content or third-party content accessible through the Website or the Services.

13.3 To the fullest extent permitted by applicable law, the User agrees that the Company shall not be liable for any loss, damage, or liability arising from the unauthorised use of the User's account or account information.

14. Governing Law and Jurisdiction

14.1 These Terms of Use and all transactions entered into on or through the Website and the relationship between a User and the Company shall be governed in accordance with the laws of India without reference to conflict of laws principles.

14.2 The User agrees that all claims, differences and disputes arising under or in connection with or in relation hereto the Website, these Terms of Use, or any transactions entered into on or through the Website shall be resolved by final and binding arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The language of the arbitration shall be English and the seat of arbitration shall be Pune, Maharashtra.

15. General Provisions

15.1 Notice: All notices from the Company will be served to the User by email or by general notification on the Website.

15.2 Assignment: The User cannot assign or otherwise transfer these Terms of Use or any rights granted hereunder to any third party. The Company's rights and obligations under these Terms are freely assignable or otherwise transferable by the Company to any third parties without the requirement of seeking the User's prior consent.

15.3 Severability: If any provision of these Terms of Use is found to be unenforceable, that provision shall be enforced to the maximum extent permissible, and the remainder of the Terms shall continue in full force and effect.

15.4 Waiver: Any failure or delay by the Company to enforce any provision of these Terms shall not constitute a waiver by the Company of that provision or right.

15.5 Principal to Principal Relationship: The User and the Company are independent contractors, and nothing in these Terms will be construed to create a partnership, joint venture, agency, franchise, or employment relationship.

15.6 Force Majeure: If performance of any service or obligation under these Terms is prevented, restricted, delayed or interfered with by reason of labor disputes, strikes, acts of God, floods, lightning, severe weather, shortages of materials, rationing, utility or communication failures, earthquakes, war, revolution, acts of terrorism, civil commotion, or any other act beyond the reasonable control of the Company (each, a "Force Majeure Event"), then the Company shall be excused from such performance to the extent of and during the period of such Force Majeure Event.
