Service Agreement

This Service Agreement governs your use of IndiSign eSign Services provided by Indiconnect Paytech Private Limited

This Service Agreement ("Agreement") is made and executed on the day of signing of this agreement at Pune as a binding contract between yourself, ("User or You") and Indiconnect Paytech Private Limited, ("Company or Indiconnect or We, Us") a Company incorporated under the Companies Act, 2013. This Agreement outlines the Terms and Conditions for your usage of the service and of other services that Indiconnect may offer from time to time. Please read all the clauses carefully. By signing this Agreement, you acknowledge that you have read, understood and agree to be legally bound by it.

The "Indiconnect" and the "User" are hereinafter individually referred to as a "Party" and collectively as the "Parties" (which expression shall, unless repugnant to the context and meaning thereof, be deemed to mean and include its successors, and assigns).

1. Scope of Services

1.1 The Company shall provide the User with access to its proprietary IndiSign eSign Services ("Services"), which enable the electronic execution of documents through APIs, SDKs, web-based dashboards, and any other interfaces or tools made available by the Company from time to time.

1.2 Without limiting the generality of the foregoing, the Services may include the following functionalities, as applicable:

  • digital signing and document execution workflow;
  • Aadhaar-based authentication of signers through OTP or biometric methods, strictly in accordance with the UIDAI and CCA regulatory framework;
  • secure cryptographic signing and generation of digital signatures;
  • provision of audit trails, signer activity logs, timestamps, and related metadata;
  • issuance and management of API keys, sandbox access, and developer integration support;
  • Administrative dashboard for monitoring, configuring, and managing signing activities;
  • log retention and system record-keeping as may be required under applicable law or regulatory guidelines.

1.3 The User acknowledges and agrees that the Services are limited to enabling electronic signing workflows and related functionalities. The Company does not, under any circumstances: store, retain, or archive any documents, data, or information processed through the Services, except for transient, system-generated data strictly required to complete the eSign transaction.

1.4 The Service Provider reserves the right to modify, enhance, or discontinue any functionality of the Services from time to time, provided that such changes do not materially impair the core e-Sign capabilities offered to the Customer.

1.5 Amendments and Updates: The Company reserves the right to modify, amend, update, or replace these Terms of Service and other applicable policies at any time, with or without prior notice.

3. Regulatory Compliance

3.1 The Company acknowledges and agrees that the Services is subject to full compliance with all applicable laws, rules, and regulatory frameworks in India, including but not limited to:

  • the Information Technology Act, 2000 and all rules issued under it;
  • the Controller of Certifying Authorities (CCA) Regulations;
  • the Aadhaar Act, 2016 and all UIDAI circulars, regulations, and guidelines;
  • the Digital Personal Data Protection Act, 2023 ("DPDP Act");
  • applicable guidelines, circulars, or directives issued by the Reserve Bank of India ("RBI");
  • applicable operating rules, standards, and technical guidelines issued by NPCI.

3.2 The User shall, at all times during its use of the Services: use the Services solely for lawful, authorised, and compliant purposes; ensure compliance with all applicable laws; obtain all necessary consents from end-users; and not store, capture, or misuse Aadhaar-related data.

4. User Obligations

4.1 The User shall, at all times, use the Services strictly in accordance with this Agreement and applicable laws. The User shall maintain valid credentials, ensure document legality, verify signer authorization, implement adequate internal controls, and comply with all operational instructions.

4.2 The User acknowledges and agrees that it shall bear sole and exclusive responsibility for: the content, legality, and validity of all documents; the accuracy of signer details; all actions and transactions; and any loss or damage resulting from misuse.

4.3 The User acknowledges and agrees that Indiconnect is not, under any circumstances, a party to any document executed using the Services.

5. Fees and Payment

5.1 The User shall pay all fees specified in the Commercial Schedule or Order Form ("Fees") in accordance with payment timelines.

5.2 All Fees are non-cancellable and non-refundable, except where mandated under applicable law.

5.3 All Fees are exclusive of applicable taxes. GST and other taxes shall be charged additionally.

5.4 Failure to make payment when due shall accrue interest at 18% per annum from the due date.

5.5 Indiconnect reserves the right to suspend access in the event of non-payment or delayed payment.

6. Term and Renewal

The Agreement shall remain in force unless terminated or cancelled in accordance with these terms. Users may cancel at any time without notice period. Early termination shall not entitle the User to any refund.

10. Intellectual Property Rights

All rights, title, and interest in the Indiconnect platform, software, APIs, and related materials remain the exclusive property of Indiconnect. The User receives only a limited, non-exclusive, non-transferable license to use the Services.

The User shall not reverse engineer, modify, resale, or distribute any Indiconnect Materials.

12. Data Protection & Security

Indiconnect processes only data strictly necessary for authentication and e-signing. All data is stored within India in compliance with data-localisation requirements.

The User is solely responsible for obtaining all necessary consents from signatories before initiating transactions.

Indiconnect shall not store documents or Aadhaar data except where required by law or where Indiconnect is a party to the document.

13. Confidentiality

All non-public proprietary information disclosed by either Party shall be maintained in strict confidence and used solely for performing obligations under this Agreement.

The Receiving Party shall protect Confidential Information using at least the same degree of care it uses for its own confidential information.

15. Limitation of Liability

15.1 To the fullest extent permitted by law, the Company's total aggregate liability shall be strictly limited to the fees actually paid by the User for the specific transaction giving rise to the claim, and under no circumstances shall exceed INR 10,000 (Indian Rupees Ten Thousand only).

15.2 The User's liability is unlimited for regulatory violations, fraud, misuse of Services, breach of intellectual property rights, or security compromises.

15.3 The Company shall not be liable for any indirect, incidental, special, or consequential damages, loss of business, revenue, profits, data, or business interruption.

16. Disclaimer of Warranties

The Services are provided on an "as is," "as available," and "with all faults" basis. The Company disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

The Company does not warrant uninterrupted, timely, secure, or error-free access or that defects will be corrected.

17. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India. All disputes shall be resolved by final and binding arbitration under the Arbitration and Conciliation Act, 1996.

The seat of arbitration shall be Pune, Maharashtra, and the language shall be English.
