Indi AI Legal Assistant: Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement governing all access to and use of the Indi AI Legal Assistant, including any software, applications, features, functionalities, tools, and related services (collectively, the "Services") made available by Indi AI Legal Assistant, which forms part of the IndiSign website and services and is operated by IndiSign AI ("IndiSign", "we", "us", or "our").

By accessing, using, registering for, or otherwise availing the Services, whether free of charge or for a fee, you irrevocably acknowledge, agree, and confirm that you have read, understood, and accepted these Terms and that you are legally bound by the same.

Your access to and continued use of the Services shall constitute unconditional acceptance of these Terms, as amended from time to time. If you do not agree to these Terms, you must immediately discontinue access to and use of the Services.

Indi AI Legal Assistant is an artificial intelligence enabled assistance tool intended solely to generate automated, general informational responses based on user-provided inputs. The Tool does not constitute, and shall not be construed as, professional, legal, financial, regulatory, technical, or other expert advice, and shall not be relied upon as a substitute for independent professional judgment or due diligence.

Indi AI Legal Assistant is not responsible for any decisions or actions you take based on the Tool's output. You use the Tool at your own discretion. Indi AI Legal Assistant may change, improve, restrict, pause, or stop the Tool fully or partially at any time, without prior notice or liability.

You represent, warrant, and undertake that you are legally competent to enter into a binding contract under applicable laws of India and that you have the full legal capacity, authority, and right to accept and comply with these Terms. Where you access or use the Tool on behalf of any entity, you further represent and warrant that you are duly authorized to act for and bind such entity, and that such entity shall be fully bound by these Terms.

Indi AI Legal Assistant reserves the right to restrict, suspend, or terminate access to the Tool, without notice or liability, if any representation under this clause is found to be untrue, inaccurate, or misleading.

You agree, undertake, and covenant that you shall:

• access and use the Tool strictly for lawful purposes and in full compliance with all applicable laws, rules, and regulations;
• not upload, submit, transmit, or otherwise make available through the Tool any content or information that is unlawful, false, misleading, defamatory, infringing, abusive, obscene, inappropriate, confidential, harmful, or otherwise objectionable;
• ensure that all information, data, and content provided by you in connection with the use of the Tool are accurate, complete, and lawfully obtained, and that you have all necessary rights and authorizations to submit the same; and
• not engage in any activity that may directly or indirectly disrupt, interfere with, misuse, damage, reverse engineer, decompile, disassemble, or otherwise attempt to compromise the integrity, security, or functionality of the Tool or its underlying systems, networks, or infrastructure.

Without prejudice to any other restrictions under these Terms, you shall not, directly or indirectly:

• use the Tool in any manner that violates the Information Technology Act, 2000, the rules, regulations, directions, or guidelines issued thereunder, or any other applicable law relating to data protection, cybersecurity, electronic records, or computer systems;
• attempt to scrape, crawl, mine, harvest, extract, download, copy, cache, or otherwise collect data, responses, content, metadata, or outputs from the Tool through automated means or otherwise, except as expressly permitted by IndiSign;
• use, reproduce, modify, distribute, publish, or exploit any outputs, responses, or content generated by the Tool for the purpose of training, fine-tuning, benchmarking, validating, or developing any artificial intelligence models, algorithms, or competing products or services;
• attempt to bypass, disable, interfere with, or circumvent any security features, access controls, usage limits, authentication mechanisms, or technical safeguards implemented by IndiSign;
• introduce or transmit any viruses, malware, spyware, ransomware, denial-of-service attacks, or other malicious code or activities that may compromise the security, integrity, availability, or functionality of the Tool or its underlying systems;
• use the Tool for any unlawful, deceptive, fraudulent, harmful, or abusive purpose, including but not limited to impersonation, misinformation, or unauthorized surveillance; or
• engage in any activity that may cause damage, disruption, or undue burden to IndiSign's infrastructure, systems, networks, or services.

Any violation of this clause shall constitute a material breach of these Terms and may result in immediate suspension or termination of access to the Tool, without notice or liability, in addition to any other remedies available to IndiSign under law or equity.

All responses, outputs, or content generated by Indi AI Legal Assistant are produced through automated processes based on user-provided inputs and are provided on an "as is" and "as available" basis. Indi AI Legal Assistant makes no representations, warranties, or guarantees, express or implied, regarding the accuracy, completeness, reliability, suitability, timeliness, or correctness of any outputs generated by the Tool.

You expressly acknowledge and agree that any reliance placed on the outputs of Indi AI Legal Assistant is entirely at your own risk. Indi AI shall not be responsible or liable, whether in contract, tort, or otherwise, for any decisions, actions, omissions, losses, or damages arising from or in connection with your use of, or reliance upon, any responses or outputs generated by the Tool.

All intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, database rights, and all other proprietary rights, in and to the Indi AI Legal Assistant, its underlying software, source code, algorithms, models, architecture, content, responses, outputs, trademarks, logos, and related documentation (collectively, the "IndiSign IP") are and shall remain the exclusive property of IndiSign or its licensors.

Except for the limited, non-exclusive, non-transferable, and revocable right to access and use the Tool strictly in accordance with these Terms, no right, title, or interest in or to the IndiSign IP is granted or deemed to be granted to you, whether by implication, estoppel, or otherwise.

All responses, outputs, content, and materials generated by the Indi AI Legal Assistant ("AI Outputs") are generated through IndiSign's proprietary systems and shall, to the maximum extent permitted under applicable law, vest exclusively in IndiSign. IndiSign retains all right, title, and interest, including all intellectual property rights, in and to such AI Outputs.

Subject to your continued compliance with these Terms, IndiSign grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable permission to use the AI Outputs solely for your internal and lawful purposes. You shall not reproduce, distribute, publish, commercialize, modify, create derivative works from, or otherwise exploit any AI Outputs, in whole or in part, without the prior written consent of IndiSign.

Nothing contained herein shall be construed as granting you any ownership rights in the AI Outputs or the underlying models, systems, or technologies used to generate such outputs.

Any information, data, content, or materials submitted by you through the Indi AI Tool may be collected, processed, stored, transmitted, and analyzed by automated and manual systems for the purposes of operating, providing, maintaining, securing, monitoring, and improving the Tool, in accordance with IndiSign's Privacy Policy and applicable laws.

By using the Tool, you consent to IndiSign processing the information and data provided by you during registration, as well as your queries, inputs, and uploaded content, for the purpose of generating AI responses and enhancing platform services.

You acknowledge and agree that AI-generated responses and outputs may not be confidential in nature and that IndiSign does not guarantee the confidentiality of any information submitted through the Tool, except as expressly provided under its Privacy Policy.

To the maximum extent permitted under applicable law, IndiSign shall not be liable, whether in contract, tort (including negligence), strict liability, or otherwise, for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation any loss of data, loss of profits, loss of business, loss of revenue, loss of goodwill, or business interruption, arising out of or in connection with your access to, use of, or inability to use the Indi AI Tool, even if IndiSign has been advised of the possibility of such damages.

Without prejudice to the foregoing, IndiSign's total aggregate liability, if any, in relation to the Tool shall be limited to the amount, if any, paid by you to IndiSign for access to or use of the Tool during the twelve (12) months immediately preceding the event giving rise to such claim.

You agree to indemnify, defend, and hold harmless IndiSign, its affiliates, group companies, licensors, and their respective directors, officers, employees, agents, and representatives from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• your access to or use of the Indi AI Legal Assistant;
• your breach or alleged breach of these Terms or applicable laws;
• any content, data, or information submitted by you through the Tool; or
• any infringement or alleged infringement of any third-party rights caused by your acts or omissions.

This indemnity obligation shall survive the suspension or termination of your access to the Tool and shall be in addition to any other rights or remedies available to IndiSign under applicable law or equity.

IndiSign reserves the unrestricted right, at its sole discretion, to suspend, restrict, or terminate your access to the Indi AI Legal Assistant, in whole or in part, at any time, with or without prior notice and without incurring any liability, if IndiSign reasonably believes that you have breached or violated these Terms, applicable laws, or engaged in any conduct that may adversely affect the Tool, IndiSign, or any third party.

Such suspension or termination shall be without prejudice to IndiSign's other rights, remedies, or claims available under law or equity, and any provisions which by their nature are intended to survive shall continue to remain in effect notwithstanding such suspension or termination.

These Terms shall be governed by and construed in accordance with the laws of India. The courts at Pune, Maharashtra, India shall have exclusive jurisdiction to adjudicate any disputes, claims, or proceedings arising out of or in connection with these Terms, including their validity, interpretation, performance, or enforcement.

Indi AI Legal Assistant reserves the right, at its sole discretion, to amend, modify, revise, or update these Terms at any time. Any such amendments shall be effective immediately upon being posted on the IndiSign website or otherwise made available through the Tool. Your continued access to or use of Indi AI Legal Assistant after the effective date of such amendments shall constitute your deemed acceptance of the revised Terms.
